重要提示：商米设备软件许可协议（以下简称“许可协议”或“本协议”）是您（个人、公司或其他任何实体）与上海商米科技集团股份有限公司（以下简称“商米”或“我们”）就商米设备软件的使用所签订的协议。鉴于商米设备为商用设备，您需达到您所在地区的法定成年年龄，方可签订本协议；若您未达法定成年年龄，我们建议您不要使用商米设备，或需要您的监护人同意或签订本协议。在您使用您的商米设备或下载更新商米设备软件前，请您审慎阅读并充分理解本协议全部条款，特别是其中所涉及的免除或限制商米义务与责任的条款、排除或限制您的权利的条款等，以及以粗体字样标识的内容。如您点击同意、下载更新商米设备软件或继续使用商米设备或商米设备软件，即视为您已同意并接受本协议的约束条件。如您不同意本协议，请勿使用任何商米设备或下载更新商米设备软件。

一、定义

1. 商米设备软件：您的商米设备自取得时即包含的软件组件，包括但不限于存储在商米设备上的代码和其他嵌入式软件、文档、界面、内容、字体以及任何受商米或其许可方知识产权保护的数据，但不包含商米设备中所含的开源软件组件及预装的第三方软件。

2. 开源软件组件：受第三方知识产权保护并由第三方授予开源许可证的软件组件。

3. 第三方软件：并非由商米开发的可安装于商米设备上的软件。

二、软件使用许可

1. 在本协议许可范围内，您有权在商米设备上以有限的、非独家的方式使用商米设备软件，不得出售、转让或用于其他任何商业用途。

2. 商米可能会向您提供商米设备软件更新服务，包括但不限于系统软件及应用软件。商米设备软件更新版本可能不会覆盖商米设备软件旧有版本的所有功能，当您使用商米设备软件更新服务时，应注意：

（1）商米设备软件的更新版本亦受本协议约束；

（2）当商米向您提供商米设备软件更新版本，您可以选择更新至最新版本或仍旧使用原有版本。当您选择使用原本版本时，您理解并同意，您的商米设备及软件可能存在安全稳定风险，并可能导致部分软件或服务不可用或不稳定，更新到最新版本会提高您的用户体验；

（3）为了改善您的用户体验或提高服务安全性、保证商米设备软件功能的正常运营等目的，商米保留如您不对您的商米设备软件更新即不继续为您提供服务的权利；

（4）您的商米设备可能会向商米查询是否存在商米设备软件更新版本，如检测到存在商米设备软件更新版本，商米设备可能会自动下载并安装该更新版商米设备软件。

4. 商米设备中包含开源软件组件，当您使用商米设备中的开源软件组件时，应适用开源许可证的条款和条件。本协议并不会改变您依据开源软件许可证所能享有的任何权利或义务。如果本协议中有关开源软件组件的许可条件与开源软件许可证所述存在任何冲突，应以开源软件许可证为准。

5. 商米设备中包含的第三方软件的使用方式，您可参见本协议中的第三方软件声明。

三、使用限制

1. 未经商米许可，您不得自己或许可第三方对您的商米设备软件进行如下操作：

（1）复制、拆解、反编译、反汇编或创作软件的衍生作品；

（2）导出商米设备软件源代码、对商米设备软件或商米设备软件提供的任何服务或其任何部分进行解码或修改等行为；

（3）企图破坏、改变、删除、遮蔽或更改可能附加于或包含在商米设备软件中的任何专有权通知，如商标标识或版权标识等，或绕开属于商米设备软件的数字版权管理系统；

（4）您不得通过网络分发或提供商米设备软件，以致其在同一时间可供多台设备或多台计算机使用；

（5）其他可能损害商米利益的行为。

2. 未经商米事先许可，不得使用商米的技术或知识产权来开发软件，或者设计、开发、制造、销售与商米设备相关联的第三方设备、第三方软件、第三方插件或软件许可证。

3. 未经商米事先许可，您不得在您的商米设备中安装第三方软件、插件或接入未经授权的第三方设备。商米应用商店中为您提供的应用软件已经商米许可同意。

4. 您可以为您的商米设备软件制作一份备份副本并保存在存储介质中，以用于存档用途，但该备份副本必须带有原件上所载的一切著作权或其它专有权的提示。

5. 未经商米书面许可，您不得向第三方出售、出租、出借、再许可或分发本协议项目下的部分或全部软件。您可以在转让商米设备的同时将商米设备软件一同转让给另一方，但需满足以下条件：

（1）转让内容必须包含您的商米设备和设备中所有商米设备软件；

（2）您转让后不得保留全部或部分商米设备软件备份；

（3）您应确保接收商米设备及软件的一方已阅读并同意接受本协议的所有条款和条件。

6. 在使用商米设备软件进行存储或复制时，您应当取得权利人的授权。商米设备软件提供的复制功能仅限于复制没有版权保护的内容、您享有版权的内容或者您获得合法授权可复制的内容。您理解并同意，通过您的设备显示、存储或访问的任何内容，其所有权和知识产权均属于该内容所有权人。该内容可能受相关法律的保护，您使用时可能还需要遵守提供该内容的第三方用户协议或类似条款。除非另有约定，本协议并未授予您使用该内容的任何权利，亦不保证您可继续使用该内容。

7. 您同意在使用商米设备软件时遵守商米设备所在国家或地区的法律法规，这些国家和地区可能包含您的住所地、下载商米设备软件的地点、使用商米设备软件为您提供服务的地点等。

8. 商米及其许可方保留本协议未明确授予您的其他任何权利。

四、数据保护

1. 在您使用商米设备时，商米设备软件可能会收集您的个人信息及商米设备运营数据。商米十分重视对您的数据的保护，您的个人信息会依据《商米设备隐私政策》处理；您的设备运营数据会依据《商米设备运营数据保护规则》处理。

2. 您理解并同意，您通过商米设备软件收集、保存、上传、下载、分发、加工、使用以及通过其他方式处理的数据，以及利用商米可能配置的备份工具备份的数据均为您的业务数据。您应对您的业务数据来源及内容的合法性与正当性负责，如您收集、保存、处理、使用业务数据等行为违反法律，侵犯他人的肖像权、隐私权、个人信息、商业秘密或其他任何合法权益，给国家、社会或他人造成损害，您应自行承担全部责任。

五、第三方软件声明

1. 商米不拥有第三方软件的任何权利，您理解并同意：

（1）商米不承担对第三方软件提供支持的义务；

（2）商米不保证第三方软件内容或服务在任何期间维持其可用性；

（3）商米无需对第三方软件上提供的任何内容，如广告、产品、服务等承担责任；

（4）商米可禁止某类第三方软件装载于商米设备之中而无需作出任何解释说明，即商米不保证您期待使用的任何第三方软件都可装载于商米设备之上。

（5）商米不对第三方软件的合法性做任何明示的或默示的保证，如第三方软件存在侵犯他人合法权益的情形，由此导致的您或第三方产生的任何损失，均由第三方软件提供者独立承担责任。

2. 您理解并同意，在您的商米设备上出现的任何第三方的名称、标记仅为方便您识别与区分商品或服务来源，并不代表商米对该第三方软件的质量有任何明示或暗示的保证或向您推荐该第三方软件。

3. 您理解并同意，当您使用第三方软件时，第三方软件可能会收集使用您提供的个人信息与其他数据。第三方软件的收集使用行为受其展示的相关条款，如用户协议、隐私政策或其他此类协议的约束。请您在使用前审慎阅读相关条款，您使用第三方软件可能导致的风险由您自行承担。

4. 未经第三方软件所有权人事先许可，您不得对第三方软件采取以下任何行为，同时您理解并同意，商米无需对您可能的使用第三方软件的违法行为或由于使用第三方软件而遭受的侵权损失承担任何责任：

（1）修改、出租、分售许可、分发服务或创建基于该第三方软件的衍生作品；

（2）利用第三方软件传输计算机病毒或他恶意软件、插件；

（3）利用第三方软件侵入网络或加重网络容量负担的行为；

（4）利用第三方软件进行骚扰、威胁、诋毁或以其他侵犯任何第三方的权利使用方式；

（5）其他可能侵害第三方软件所有者利益的使用方式。

六、免责条款

1. 如您插入SIM卡或使用虚拟流量卡使用商米设备，商米设备软件的很多功能、内置APP和服务会传输数据，这将会消耗您的数据流量，因此产生的数据流量费用您应自行支付。此外，为了更好地为您提供服务并提升您的产品使用体验，商米设备软件可能会自动升级、更新等，这些均可能消耗流量，相应的流量费用亦需您自行承担。

2. 您理解并同意，商米设备软件是按照按照现有技术和条件所能达到的现状提供的，商米无法保证商米设备软件中所含的功能将满足您的所有要求，也无法保证商米设备软件的运行不会中断或出错。商米对此类风险在法律允许的范围内免责，包括但不限于不可抗力、病毒、木马、黑客攻击、系统不稳定、第三方服务瑕疵、政府行为等原因可能导致的软件服务中断、数据丢失、流量增多以及其他的损失和风险，您需自行承担相应损失与风险。此外，需要提请您注意，当您发现您因该等瑕疵遭受损失时，您有义务及时采取合理措施以避免损失的扩大。因您未采取合理措施而致使损失扩大，扩大部分的损失亦与商米无关。

3. 您理解并同意，商米设备软件无法保证会与任何第三方软件或服务兼容，商米设备软件仅会为您提供经过商米授权许可的第三方软件。如您期待使用的第三方软件不在商米授权许可之列，商米无需为此承担任何责任。

4. 您理解并同意，商米设备软件仅适用于普通商业场景，其服务稳定度不适用于对精密度要求极高且一旦信息不准确、服务不稳定将对他人、社会、国家造成极大危害或对商业主体造成极高商业风险的应用场景，由此引发的商业风险或法律责任由您自行负责。

七、责任限制条款

1. 对于因滥用、错误使用或未经授权修改引起的软件使用问题，商米不承担任何责任。如您使用未经授权的第三方软件致使商米的相关权益受损，商米有权追究您的违约责任。

2. 您同意承担使用商米服务的所有风险及因该风险可能造成的任何损害，商米对于您使用商米设备软件或无法使用商米设备软件所导致的任何直接、间接、衍生或特别的损害，包括但不限于商业利润的损失、贸易的中断、信息或数据的丢失，都不负任何赔偿责任，即使商米已被告知存在这种损害的可能性也不例外。

3. 如商米需对您赔偿相关损失，商米对您的所有损失承担的总责任赔付限额不超过您购买商米设备所支付的价款。

八、协议的终止

1. 当发生如下情形时，本协议终止：

（1）当您永久删除、销毁并归还软件、所有备份副本及商米提供的所有相关材料，并自行承担相应的成本时。

（2）当您违反本协议中的任一条款或条件，商米或其许可方有权在不预先通知的情况下随时终止本协议。终止后，您必须立即停止使用商米设备软件，并删除所有已经复制和/或安装在您的商米设备或计算机上的软件及相关材料。

2. 本协议终止后，本协议中有关商米设备软件的保护条款仍旧有效。

九、其他

1. 如本协议中的任何条款无论因何种原因完全或部分无效或不具有执行力，本协议的其余条款仍应有效且具有约束力，您和商米均应尽力使该条款设定的本意得到实现。

2. 本协议之效力、解释、变更、执行与争议解决均适用中华人民共和国法律。

3. 本协议签订地为中国上海市杨浦区。因本协议所引起的用户与商米的任何纠纷或争议，双方应尽量友好协商解决；协商不成的，任何一方均可向商米所在地即上海市杨浦区有管辖权的人民法院提起诉讼。

Nota importante: Este Acuerdo de Licencia de Software de Dispositivos SUNMI (en adelante, "Acuerdo de Licencia" o "Acuerdo") se celebra entre usted (ya sea como persona física, empresa o cualquier otra entidad) y Shanghai SUNMI Technology Co., Ltd. (en adelante, “SUNMI” o “nosotros”) con respecto al uso del software de dispositivos SUNMI. Dado que los dispositivos SUNMI tienen fines comerciales, usted deberá ser mayor de edad en el lugar en el que reside para celebrar este Acuerdo; si es menor de edad, le recomendamos que no utilice el dispositivo SUNMI o de lo contrario se requerirá el consentimiento o la firma de su tutor de este Acuerdo. Antes de utilizar su dispositivo SUNMI o descargar y actualizar el software de dispositivos SUNMI, lea atentamente y comprenda completamente todos los términos de este Acuerdo, especialmente los términos que eximen o restringen las obligaciones y responsabilidades de SUNMI, los términos que excluyen o restringen sus derechos y los contenidos marcados en negrita. Si hace clic en "Aceptar", descarga y actualiza el software de dispositivos SUNMI o continúa utilizando el dispositivo SUNMI o el software de dispositivos SUNMI, se considerará que está de acuerdo y acepta los términos de este Acuerdo. Si usted no acepta este Acuerdo, no utilice ningún dispositivo SUNMI ni descargue ni actualice el software de dispositivos SUNMI.

I. Definiciones

1. Software de dispositivos SUNMI: se refiere a los componentes de software instalados en su dispositivo SUNMI, incluidos, entre otros, códigos almacenados en los dispositivos SUNMI y otro software integrado, documentos, interfaces, contenidos, fuentes y cualquier dato protegido por los derechos de propiedad intelectual de SUNMI o su licenciante, pero excluyendo los componentes de software de código abierto instalados en los dispositivos SUNMI y el software de terceros preinstalado.

2. Componentes de software de código abierto: se refiere a los componentes de software que están protegidos por derechos de propiedad intelectual de terceros y para los que terceros otorgan licencias de software de código abierto.

3. Software de terceros: se refiere al software que no está desarrollado por SUNMI y que puede instalarse en los dispositivos SUNMI.

II. Licencia de uso del software

1. En la medida en que lo permita la licencia en virtud de este Acuerdo, usted tendrá derecho a utilizar el software de dispositivos SUNMI de forma limitada y no exclusiva en un dispositivo SUNMI, que no podrá venderse, transferirse ni utilizarse para ningún otro fin comercial.

2. SUNMI podrá proporcionarle servicios de actualización para el software de dispositivos SUNMI, incluidos, entre otros, el software del sistema y el software de aplicación. Es posible que la versión actualizada del software de dispositivos SUNMI no cubra todas las funciones de las versiones anteriores del software de dispositivos SUNMI. Cuando usted utiliza los servicios de actualización del software de dispositivos SUNMI, deberá prestar atención a las siguientes disposiciones:

(1) Cualquier versión actualizada del software de dispositivos SUNMI también estará sujeta a este Acuerdo.

(2) Cuando SUNMI le proporcione una versión actualizada del software de dispositivos SUNMI, podrá elegir entre actualizar el software de dispositivos SUNMI a la última versión o seguir utilizando las versiones anteriores del mismo. Cuando elige utilizar las versiones anteriores del software de dispositivos SUNMI, usted entiende y acepta que su dispositivo SUNMI y el software de dispositivos SUNMI podrían tener riesgos de seguridad y estabilidad, lo que podría provocar la falta de disponibilidad o inestabilidad de algunos software o servicios. La actualización del software de dispositivos SUNMI a la última versión mejorará su experiencia de usuario.

(3) Para mejorar su experiencia de usuario o la seguridad del servicio, garantizar el funcionamiento normal de las funciones del software de dispositivos SUNMI, etc., SUNMI se reserva el derecho de no continuar brindándole los servicios si no actualiza el software de dispositivos SUNMI.

(4) El dispositivo SUNMI podrá consultar a SUNMI si existe una versión actualizada del software de dispositivos SUNMI. Si se detecta una versión actualizada del software de dispositivos SUNMI, el dispositivo SUNMI podrá descargar e instalar automáticamente la versión actualizada del software de dispositivos SUNMI.

4. Los dispositivos SUNMI contienen componentes de software de código abierto. Cuando usted utiliza los componentes de software de código abierto contenidos en los dispositivos SUNMI, se aplicarán los términos y condiciones de la licencia de software de código abierto. Este Acuerdo no cambiará ningún derecho u obligación que pueda tener bajo la licencia de software de código abierto. En caso de conflicto entre las condiciones de licencia de los componentes de software de código abierto en este Acuerdo y las condiciones de licencia descritas en la licencia de software de código abierto, prevalecerá la licencia de software de código abierto.

5. Para conocer el método de uso del software de terceros instalado en los dispositivos SUNMI, consulte la declaración de software de terceros contenida en este Acuerdo.

III. Restricciones de uso del software de dispositivos SUNMI

1. Sin el consentimiento de SUNMI, usted no podrá realizar, ni permitir que terceros realicen, las siguientes operaciones en el software de dispositivos SUNMI:

(1) Copiar, desmontar, descompilar, desensamblar o crear trabajos derivados del software de dispositivos SUNMI.

(2) Exportar el código fuente del software de dispositivos SUNMI, decodificar o modificar el software de dispositivos SUNMI o cualquier servicio proporcionado por el software de dispositivos SUNMI o cualquier parte del mismo.

(3) Intentar destruir, cambiar, eliminar, proteger o modificar cualquier aviso de propiedad que pueda estar adjunto o contenido en el software de dispositivos SUNMI, como marcas comerciales o marcas de derechos de autor, o eludir el sistema de gestión de derechos digitales del software de dispositivos SUNMI.

(4) Distribuir o proporcionar el software de dispositivos SUNMI a través de la red, de modo que el software de dispositivos SUNMI pueda ser utilizado por varios dispositivos o computadoras al mismo tiempo.

(5) Otras operaciones que puedan perjudicar los intereses de SUNMI.

2. Sin el consentimiento previo de SUNMI, usted no podrá utilizar la tecnología o los derechos de propiedad intelectual de SUNMI para desarrollar software, o para diseñar, desarrollar, fabricar o vender dispositivos de terceros, software de terceros, complementos de terceros o licencias de software asociadas con dispositivos SUNMI.

3. Sin el consentimiento previo de SUNMI, usted no podrá instalar software de terceros ni complementos de terceros, ni conectar dispositivos de terceros no autorizados con su dispositivo SUNMI. El software de aplicación que se le proporciona en la tienda de aplicaciones SUNMI ha sido aprobado por SUNMI.

4. Usted podrá realizar una copia de seguridad del software de dispositivos SUNMI y guardarla en el medio de almacenamiento para su registro. No obstante, la copia de seguridad anterior deberá llevar todos los avisos de derechos de autor u otros avisos de propiedad contenidos en el original.

5. Sin el consentimiento por escrito de SUNMI, usted no podrá vender, arrendar, prestar, sublicenciar ni distribuir el software descrito en este Acuerdo, en su totalidad o en parte, a terceros. Usted podrá transferir el software de dispositivos SUNMI a un tercero al mismo tiempo que transfiere su dispositivo SUNMI, siempre y cuando se cumplan las siguientes condiciones:

(1) El contenido transferido deberá incluir el dispositivo SUNMI y todo el software de dispositivos SUNMI contenido en el mismo.

(2) Una vez realizada la transferencia, usted no podrá conservar una copia de seguridad del software de dispositivos SUNMI, en su totalidad o en parte.

(3) Usted deberá asegurarse de que la parte que reciba el dispositivo SUNMI y el software de dispositivos SUNMI haya leído y aceptado todos los términos y condiciones de este Acuerdo.

6. Al utilizar el software de dispositivos SUNMI para almacenamiento o copia, usted deberá obtener la autorización del titular de los derechos. La función de copia proporcionada por el software de dispositivos SUNMI se limita únicamente a copiar contenidos que no estén protegidos por derechos de autor, contenidos sobre los cuales usted tiene derechos de autor o contenidos que esté legalmente autorizado a copiar. Usted entiende y acepta que la propiedad y los derechos de propiedad intelectual de cualquier contenido mostrado, almacenado o al que se acceda a través de su dispositivo corresponden a los titulares de los derechos de dichos contenidos. Dichos contenidos pueden estar protegidos por las leyes pertinentes, y es posible que deba cumplir con los acuerdos de usuario de terceros que proporcionan dichos contenidos o términos similares al utilizarlos. A menos que se acuerde lo contrario, este Acuerdo no le otorga ningún derecho a utilizar los contenidos anteriores, ni garantiza que pueda continuar utilizando dichos contenidos.

7. Usted acepta cumplir con las leyes y regulaciones de los países o regiones donde se encuentren los dispositivos SUNMI al utilizar el software de dispositivos SUNMI. Dichos países y regiones pueden incluir los países y regiones donde se encuentre su domicilio, se descargue el software de dispositivos SUNMI y se utilice el software de dispositivos SUNMI para brindarle servicios, etc.

8. SUNMI y su licenciante se reservan cualquier otro derecho que no se le otorgue expresamente en virtud de este Acuerdo.

IV. Protección de datos

1. Cuando usted utiliza un dispositivo SUNMI, el software de dispositivos SUNMI podrá recopilar su información personal y los datos de funcionamiento del dispositivo SUNMI. SUNMI concede gran importancia a la protección de sus datos. Su información personal se tratará de acuerdo con la Política de privacidad de dispositivos SUNMI y los datos de funcionamiento de su dispositivo se tratarán de acuerdo con las Normas de protección de datos de funcionamiento de dispositivos SUNMI.

2. Usted entiende y acepta que los datos que recopile, almacene, cargue, descargue, distribuya, trate, utilice y trate de cualquier otro modo a través de los productos o servicios proporcionados por SUNMI y los datos de los que realice una copia de seguridad utilizando la herramienta de copia de seguridad que SUNMI pueda configurar son todos sus datos comerciales. Usted será responsable de la legalidad y legitimidad de las fuentes y contenidos de sus datos comerciales. Si la recopilación, el almacenamiento, el tratamiento y el uso de los datos comerciales infringen alguna ley o vulneran los derechos de imagen, los derechos de privacidad, la información personal, los secretos comerciales o cualquier otro derecho de terceros y, en consecuencia, causen daños al país, a la sociedad o a terceros, usted será el único responsable de todas las responsabilidades derivadas de ello.

V. Declaración de software de terceros

1. SUNMI no tiene ningún derecho sobre el software de terceros. Usted entiende y acepta que:

(1) SUNMI no asume la obligación de proporcionar soporte al software de terceros.

(2) SUNMI no garantiza la disponibilidad de los contenidos o servicios del software de terceros en ningún momento.

(3) SUNMI no será responsable de ningún contenido proporcionado por el software de terceros, como anuncios, productos, servicios, etc.

(4) SUNMI puede, a su sola discreción, prohibir la instalación de determinados tipos de software de terceros en los dispositivos SUNMI, es decir, SUNMI no garantiza que cualquier software de terceros que usted utilice pueda instalarse en los dispositivos SUNMI.

(5) SUNMI no garantiza de forma expresa o explícita la legalidad de ningún software de terceros. El proveedor de dicho software de terceros será el único responsable de cualquier pérdida causada a usted o a terceros debido a cualquier infracción de los derechos e intereses legítimos de terceros.

2. Usted entiende y acepta que los nombres y marcas de terceros que aparecen en su dispositivo SUNMI son solo para su comodidad a la hora de identificar y distinguir las fuentes de bienes o servicios, y no significan que SUNMI haya otorgado ninguna garantía expresa o implícita con respecto a la calidad del software de terceros o que recomiende el software de terceros a usted.

3. Usted entiende y acepta que al utilizar el software de terceros, el software de terceros podría recopilar y utilizar la información personal y otros datos proporcionados por usted. La recopilación y el uso de dicha información personal y otros datos por parte del software de terceros está sujeto a las disposiciones pertinentes que muestra el software de terceros, como el acuerdo de usuario, la política de privacidad u otros acuerdos similares. Lea atentamente los términos pertinentes antes de utilizar el software de terceros. Los riesgos que puedan resultar del uso del software de terceros serán asumidos por usted.

4. Sin el consentimiento previo del titular de los derechos del software de terceros, usted no podrá realizar ninguna de las siguientes acciones contra el software de terceros. Al mismo tiempo, usted entiende y acepta que SUNMI no será responsable de ninguno de los posibles actos ilegales realizados por usted al utilizar el software de terceros ni de las pérdidas por infracción sufridas por usted debido al uso del software de terceros:

(1) Modificar, arrendar o sublicenciar o distribuir servicios o crear trabajos derivados basados en el software de terceros.

(2) Utilizar el software de terceros para transmitir virus informáticos u otro software y complementos maliciosos.

(3) Utilizar el software de terceros para atacar la red o aumentar la carga de capacidad de la red.

(4) Utilizar el software de terceros para acosar, amenazar, difamar o utilizar el software de terceros de otras formas que infrinjan los derechos de terceros.

(5) Otras formas de uso que puedan infringir los intereses de los propietarios del software de terceros.

VI. Descargo de responsabilidad

1. Si usted inserta una tarjeta SIM o una tarjeta de flujo virtual en un dispositivo SUNMI, algunas funciones, aplicaciones integradas y servicios del software de dispositivos SUNMI transmitirán datos, lo que consumirá su flujo de datos por lo que usted deberá pagar las tarifas de flujo de datos derivadas de ello. Además, para ofrecerle un mejor servicio y mejorar su experiencia con el producto, el software de dispositivos SUNMI podrá realizar actualizaciones automáticas que consumirán su flujo de datos a su propio costo.

2. Usted entiende y acepta que el software de dispositivos SUNMI se proporciona con la tecnología y las condiciones disponibles y accesibles en la actualidad. SUNMI no podrá garantizar que las funciones contenidas en el software de dispositivos SUNMI cumplan con todas sus necesidades, ni que el software de dispositivos SUNMI funcione sin interrupciones o errores. Sujeto a las leyes aplicables, SUNMI renuncia a dichos riesgos y pérdidas, incluidos, entre otros, la interrupción de los servicios de software, la pérdida de datos, el aumento del flujo de datos y otras pérdidas y riesgos causados por fuerza mayor, virus, troyanos, ataques de piratas informáticos, inestabilidad, defectos de servicios de terceros, actos de gobiernos y otros motivos. Usted será el único responsable de dichas pérdidas y riesgos. Además, usted está obligado a tomar medidas oportunas y razonables para evitar que las pérdidas aumenten una vez que usted haya detectado cualquier pérdida debido a dichos defectos. SUNMI no será responsable de las pérdidas ocasionadas por no adoptar dichas medidas.

3. Usted entiende y acepta que SUNMI no garantiza que el software de dispositivos SUNMI sea compatible con cualquier software de terceros o servicio de terceros, y SUNMI solo le proporcionará el software de terceros con licencia de SUNMI. SUNMI no garantiza que cualquier software de terceros que usted pueda utilizar esté incluido en el software licenciado por SUNMI.

4. Usted entiende y acepta que el software de dispositivos SUNMI solo se aplica a escenarios comerciales normales, y que la estabilidad de los servicios del software de dispositivos SUNMI no se aplica a los escenarios que requieren una precisión extremadamente alta y que puedan causar grandes daños a terceros, a la sociedad y al país, o riesgos comerciales extremadamente altos para las entidades comerciales si la información es inexacta y los servicios son inestables, y que usted únicamente asumirá los riesgos comerciales o las responsabilidades legales que surjan de los mismos.

VII. Limitación de responsabilidades

1. SUNMI no será responsable de ningún problema de uso del software causado por un mal uso, un uso incorrecto o una modificación no autorizada. Si el uso no autorizado del software de terceros causa daños a los derechos e intereses relacionados de SUNMI, SUNMI tendrá derecho a responsabilizarlo por incumplimiento de contrato.

2. Usted acepta asumir todos los riesgos que surjan del uso de los servicios de SUNMI y cualquier daño que pueda ser causado por dichos riesgos. SUNMI no será responsable de ningún daño directo, indirecto, derivado o especial causado por el uso del software de dispositivos SUNMI o por su incapacidad para utilizar el software de dispositivos SUNMI, incluidos, entre otros, la pérdida de ganancias comerciales, la interrupción del comercio, la pérdida de información o datos, incluso si SUNMI ha sido informado de la posibilidad de dichos daños.

3. Si SUNMI tiene que indemnizarle por cualquier pérdida, la responsabilidad total de SUNMI por todas sus pérdidas no superará el precio pagado por usted por la compra del dispositivo SUNMI.

VIII. Rescisión del Acuerdo

1. Este Acuerdo se rescindirá si:

(1) usted elimina, destruye y devuelve de forma permanente el software de dispositivos SUNMI, todas las copias de seguridad del mismo y todos los materiales pertinentes proporcionados por SUNMI a su propio costo.

(2) usted incumple cualquier disposición o condición de este Acuerdo. En tal caso, SUNMI o su licenciante podrán rescindir este Acuerdo en cualquier momento sin notificación previa. Después de la rescisión de este Acuerdo, usted deberá dejar de utilizar inmediatamente el software de dispositivos SUNMI y eliminar todo el software y los materiales relacionados que se hayan copiado y/o instalado en su dispositivo SUNMI o computadora.

2. Después de la rescisión de este Acuerdo, los términos de este Acuerdo de protección del software de dispositivos SUNMI seguirán siendo válidos.

IX. Varios

1. Si alguna disposición de este Acuerdo deja de ser válida o inaplicable, en su totalidad o en parte, por cualquier motivo, las demás disposiciones de este Acuerdo seguirán siendo válidas y vinculantes, y usted y SUNMI harán todo lo posible para llevar a cabo la intención original establecida por dicha disposición inválida o inaplicable.

2. La validez, interpretación, modificación y aplicación de este Acuerdo, así como la resolución de conflictos relacionados con el mismo, se regirán por las leyes de la República Popular China.

3. Este Acuerdo se celebra en el distrito de Yangpu, Shanghai, China. Cualquier problema o disputa entre usted y SUNMI que surja de o en relación con el cumplimiento de este Acuerdo será resuelto por usted y SUNMI mediante una conciliación en la medida de lo posible. Si no se puede llegar a un acuerdo mediante una conciliación, cualquiera de las partes podrá interponer una demanda ante el tribunal popular con jurisdicción en el distrito de Yangpu, Shanghai, donde se encuentra SUNMI.

Important Note: This License Agreement on SUNMI Device Software (hereinafter referred to as this “License Agreement” or “Agreement”) is entered into by and between you (individual, company, or any other entity) and Shanghai SUNMI Technology Co., Ltd. (hereinafter referred to as “SUNMI” or “we”) with respect to the use of the SUNMI Device Software. As the SUNMI devices are for commercial purposes, you shall be of legal age of majority in the place where you are domiciled to enter into this Agreement; If you are under the legal age of majority, we recommend that you do not use SUNMI device or your guardian's consent is required or your guardian shall sign this Agreement. Before you use your SUNMI device or download and update the SUNMI Device Software, please carefully read and fully understand all terms of this Agreement, especially the terms that exempt or restrict SUNMI’s obligations and liabilities, the terms that exclude or restrict your rights, and the contents marked in bold type. If you click “Agree”, download and update the SUNMI Device Software or continue to use the SUNMI Device or SUNMI Device Software, you will be deemed to have agreed to and accepted the terms of this Agreement. If you do not agree to this Agreement, please do not use any SUNMI device or download or update the SUNMI Device Software.

I. Definitions

1. SUNMI Device Software: means the software components installed in your SUNMI device, including but not limited to codes stored on SUNMI devices and other embedded software, documents, interfaces, contents, fonts and any data protected by the intellectual property rights of SUNMI or its licensor, but excluding the Open Source Software Components installed on SUNMI devices and pre-installed Third-Party Software.

2. Open Source Software Components: means the software components which are protected by the intellectual property rights of third parties and for which open source software licenses are granted by third parties.

3. Third-Party Software: means the software which is not developed by SUNMI and can be installed on SUNMI devices.

II. License to Use Software

1. To the extent permitted by the license under this Agreement, you shall have the right to use the SUNMI Device Software in a limited and non-exclusive way on a SUNMI device, which may not be sold, transferred, or used for any other commercial purpose.

2. SUNMI may provide you with update services for the SUNMI Device Software, including but not limited to system software and application software. The updated version of the SUNMI Device Software may not cover all functions of the previous versions of the SUNMI Device Software. When you use the update services for the SUNMI Device Software, you shall pay attention to the following provisions:

（1）Any updated version of the SUNMI Device Software shall also be subject to this Agreement;

（2）When SUNMI provides you with an updated version of the SUNMI Device Software, you can choose to update the SUNMI Device Software to the latest version or still use the previous versions thereof. When you choose to use the previous versions of the SUNMI Device Software, you understand and agree that your SUNMI device and SUNMI Device Software may have security and stability risks, which may lead to unavailability or instability of some software or services. Updating the SUNMI Device Software to the latest version will improve your user experience;

（3）To improve your user experience or service security, ensure the normal operation of the functions of the SUNMI Device Software, etc., SUNMI reserves the right not to continue to provide services to you if you do not update your SUNMI Device Software;

（4）Your SUNMI device may query SUNMI for the existence of an updated version of the SUNMI Device Software. If an updated version of the SUNMI Device Software is detected, SUNMI device may automatically download and install the updated version of the SUNMI Device Software.

4. SUNMI devices contain the Open Source Software Components. When you use the Open Source Software Components contained in SUNMI devices, the terms and conditions of the open source software license shall apply. This Agreement will not change any rights or obligations you may have under the open source software license. If there is any conflict between the license conditions for the Open Source Software Components in this Agreement and the license conditions described in the open source software license, the open source software license shall prevail.

5. For the method for using the Third-Party Software installed on SUNMI devices, please refer to the Third-Party Software declaration contained herein.

III. Restrictions on Use of SUNMI Device Software

1. Without the consent of SUNMI, you shall not perform, or permit any third party to perform, the following operations on your SUNMI Device Software:

（1）Copying, disassembling, decompiling, disassembling, or creating derivative works of, the SUNMI Device Software;

（2）Exporting the source code of the SUNMI Device Software, decoding or modifying the SUNMI Device Software or any services provided by the SUNMI Device Software or any part thereof;

（3）Attempting to destroy, change, delete, shield, or modify any proprietary notices that may be attached to or contained in the SUNMI Device Software, such as trademark marks or copyright marks, or bypassing the digital rights management system of the SUNMI Device Software;

（4）Distributing or providing the SUNMI Device Software through the network so that the SUNMI Device Software can be used by multiple devices or computers at the same time; or

（5）Other operations that may damage the interests of SUNMI.

2. Without the prior consent of SUNMI, you may not use the technology or intellectual property rights of SUNMI to develop software, or to design, develop, manufacture, or sell third-party devices, Third-Party Software, third-party plug-ins, or software licenses associated with SUNMI devices.

3. Without the prior consent of SUNMI, you may not install Third-Party Software or third-party plug-ins, or connect unauthorized third-party devices with your SUNMI device. The application software provided for you in SUNMI application store has been approved by SUNMI.

4. You may make a backup copy of your SUNMI Device Software and keep it in the storage medium for the record. However, the foregoing backup copy must bear all copyright or other proprietary notices contained in the original.

5. Without the written consent of SUNMI, you may not sell, lease, lend, sublicense or distribute the software hereunder, in whole or in part, to any third parties. You may transfer the SUNMI Device Software to another party while transferring your SUNMI device, provided that the following conditions shall be met:

（1）The transferred contents must include your SUNMI device and all SUNMI Device Software contained therein;

（2）You may not keep a backup of the SUNMI Device Software, in whole or in part, after transfer; and

（3）You shall ensure that the party receiving your SUNMI device and SUNMI Device Software has read and agreed to accept all terms and conditions of this Agreement.

6. When using the SUNMI Device Software for storage or copying, you shall obtain authorization from the right holder. The copying function provided by the SUNMI Device Software is solely limited to copying the contents which are not protected by copyright, the contents of which you have copyrights, or the contents that you are legally authorized to copy. You understand and agree that the ownership and intellectual property rights of any contents displayed, stored or accessed through your device rest with the right holders of such contents. Such contents may be protected by relevant laws, and you may need to comply with the user agreements of third parties providing such contents or similar terms when using such contents. Unless otherwise agreed, this Agreement does not grant you any right to use the foregoing contents, nor does this Agreement guarantee that you can continue to use such contents.

7. You agree to comply with the laws and regulations of the countries or regions where SUNMI devices are located when using the SUNMI Device Software. Such countries and regions may include the countries and regions where your domicile is located, the SUNMI Device Software is downloaded, the SUNMI Device Software is used to provide services for you, etc.

8. SUNMI and its licensor reserve any other rights not expressly granted to you under this Agreement.

IV. Data Protection

1. When you use a SUNMI device, SUNMI Device Software may collect your personal information and SUNMI device operation data. SUNMI attaches great importance to the protection of your data. Your personal information will be processed in accordance with the SUNMI Device Privacy Policy; your device operation data will be processed in accordance with the Protection Rules for Operation Data of SUNMI Device.

2. You understand and agree that the data you collect, store, upload, download, distribute, process, use and otherwise process through the products or services provided by SUNMI and the data backed up by you using the backup tool that SUNMI may configure are all your business data. You shall be responsible for the legality and legitimacy of the sources and contents of your business data. If your collection, storing, processing and use of the business data are in breach of any laws or infringe upon the portraiture rights, privacy rights, personal information, trade secrets or any other rights of others, and consequentially cause damage to the country, society or others, you shall solely bear all the liabilities arising therefrom.

V. Third-Party Software Declaration

1. SUNMI does not have any rights to Third-Party Software. You understand and agree that:

（1）SUNMI does not assume the obligation to provide support to the Third-Party Software;

（2）SUNMI does not guarantee the availability of the contents or services of the Third-Party Software at any time;

（3）SUNMI does not need to be liable for any contents provided by the Third-Party Software, such as advertisements, products, services, etc.; and

（4）SUNMI may prohibit certain types of Third-Party Software from being installed on SUNMI devices without any explanation, that is, SUNMI does not guarantee that any Third-Party Software you expect to use can be installed on SUNMI devices.

（5）SUNMI does not make any expressed or explicit guarantee for the legality of any Third-Party Software. The provider of such Third-Party Software shall solely be liable for any loss caused to you or any third party due to any infringement on others’ legitimate rights and interests.

2. You understand and agree that the names and marks of any third parties appearing on your SUNMI device are only for your convenience in identifying and distinguishing the sources of goods or services, and do not mean that SUNMI has made any express or implied warranty with respect to the quality of the Third-Party Software or recommends the Third-Party Software to you.

3. You understand and agree that when you use the Third-Party Software, the Third-Party Software may collect and use the personal information and other data provided by you. The collection and use of such personal information and other data by the Third-Party Software is subject to the relevant provisions that the Third-Party Software shows, such as user agreement, privacy policy or other similar agreements. Please carefully read the relevant terms before you use the Third-Party Software. The risks that may result from your use of the Third-Party Software shall be borne by you.

4. Without the prior consent of the right holder of the Third-Party Software, you shall not take any of the following actions against the Third-Party Software. At the same time, you understand and agree that SUNMI shall not be liable for any of your possible illegal acts of using the Third-Party Software or infringement losses suffered by you due to your use of the Third-Party Software:

（1）Modifying, leasing or sublicensing of or distributing services of or creating derivative works based on the Third-Party Software;

（2）Using the Third-Party Software to transmit computer viruses or other malicious software and plug-ins;

（3）Using the Third-Party Software to invade the network or increase the network capacity burden;

（4）Using the Third-Party Software to make harassment, threat, slander or using the Third-Party Software in other ways that infringe the rights of any third party; or

（5）Other use ways that may infringe the interests of the owners of the Third-Party Software.

VI. Disclaimer

1. If you insert a SIM card or a virtual flow card in an SUNMI device, some functions, built-in APPs and services of the SUNMI Device Software will transmit data, which will consume your data flow, and you shall pay the data flow fees arising therefrom. In addition, to better provide you with service and improve your product experience, SUNMI Device Software may automatically upgrade or update that will consume your data flow at your own cost.

2. You understand and agree that the SUNMI Device Software is provided with the technology and conditions now available and accessible. SUNMI cannot guarantee that the functions contained in the SUNMI Device Software will meet all your requirements, nor can SUNMI guarantee that the SUNMI Device Software will run without interruption or error. Subject to the applicable laws, SUNMI disclaims such risks and losses, including but not limited to, interruption of software services, loss of data, increased data flow and other losses and risks caused by force majeure, viruses, Trojan horses, hacker attacks, system instability, defects of third-party services, acts of governments and other reasons. You shall be solely liable for such losses and risks. In addition, you are reminded that you are obliged to take timely and reasonable measures to prevent losses from being enlarged when you realize any loss so caused due to such defects. The losses enlarged due to your failure to take such measures shall not rest with SUNMI.

3. You understand and agree that SUNMI does not guarantee that the SUNMI Device Software is compatible with any Third-Party Software or third-party service, and SUNMI will only provide you with the Third-Party Software licensed by SUNMI. SUNMI does not guarantee that any Third-Party Software you expect to use is included in the software licensed by SUNMI.

4. You understand and agree that the SUNMI Device Software is only applicable to ordinary business scenarios, and the stability of the services of the SUNMI Device Software is not applicable to the scenarios which require extremely high precision and which will cause great harm to others, society and the country or extremely high business risks to business entities if the information is inaccurate and the services are unstable, and that you shall solely bear the business risks or legal liabilities arising therefrom.

VII. Limitation on Liabilities

1. SUNMI will not be liable for any software use problems caused by misuse, wrong use or unauthorized modification. If your use of unauthorized Third-Party Software causes damage to SUNMI’s related rights and interests, SUNMI has the right to hold you liable for breach of contract.

2. You agree to bear all risks arising from the use of SUNMI’s services and any damage that may be caused by such risks. SUNMI will not be liable for any direct, indirect, derivative or special damage caused by your use of the SUNMI Device Software or your inability to use the SUNMI Device Software, including but not limited to loss of business profits, interruption of trade, loss of information or data, even if SUNMI has been informed of the possibility of such damage.

3. If SUNMI has to compensate you for any losses, SUNMI’s total liability for all your losses shall not exceed the price paid by you for purchase of SUNMI device.

VIII. Termination of Agreement

1. This Agreement shall be terminated, if:

（1）you permanently delete, destroy and return the SUNMI Device Software, all backup copies thereof and all relevant materials provided by SUNMI at your own costs; or

（2）you breach any provision or condition of this Agreement. In such case, SUNMI or its licensor may terminate this Agreement from time to time without prior notification. After termination of this Agreement, you shall immediately stop using the SUNMI Device Software and delete all software and related materials that have been copied and/or installed on your SUNMI device or computer.

2. After the termination of this Agreement, the terms of this Agreement on protection of the SUNMI Device Software shall remain valid.

IX. Miscellaneous

1. If any provision of this Agreement becomes invalid or unenforceable, in whole or in part, for any reason, the remaining provisions of this Agreement shall remain valid and binding, and you and SUNMI shall make every effort to realize the original intention set forth by such invalid or unenforceable provision.

2. The validity, interpretation, change and enforcement of this Agreement and the settlement of disputes in connection herewith shall be governed by the laws of the People’s Republic of China.

3. This Agreement is executed in Yangpu District, Shanghai, China. Any issue or dispute between the user and SUNMI arising from or in connection with the performance of this Agreement shall be settled by the user and SUNMI through friendly consultation as far as possible. If no settlement can be reached through friendly consultation, either party hereto may bring a lawsuit to the people’s court with jurisdiction in Yangpu District, Shanghai where SUNMI is located.
